Robinhood Ventures Fund I (RVI) has announced the launch of its roadshow in preparation for the initial public offering (IPO) of its common shares of beneficial interest, marking a key step toward its planned public market debut.
According to the filing, RVI has submitted a registration statement on Form N-2 with the U.S. Securities and Exchange Commission to offer up to 40,000,000 common shares at an expected initial public offering price of $25 per share. The proposed offering includes 35,000,000 shares to be issued by Robinhood Ventures Fund I and 5,000,000 shares to be sold by Robinhood Markets, Inc. as the selling shareholder.

In addition, RVI plans to grant underwriters a 30-day option to purchase up to 6,000,000 additional common shares, which could increase the overall size of the offering if fully exercised. The company clarified that it will not receive any proceeds from the portion of shares sold by the selling shareholder.
Moreover, upon completion of the offering, the shares are going to be on the New York Stock Exchange under the ticker symbol “RVI,” subject to regulatory approval and market conditions.
So, as part of the roadshow process, a livestreamed investor presentation is for February 17 at 10 a.m. PT / 1 p.m. ET. The session will feature Vlad Tenev, Shiv Verma, and Sarah Pinto. The presentation will be available through the Robinhood app, X, and YouTube.
Also, the offering is being led by Goldman Sachs & Co. LLC, which is acting as sole bookrunner.
