UBS Shareholders: Key Proposals at Annual General Meeting

UBS Group AG successfully held its Annual General Meeting (AGM) today, where all proposals made by the Board of Directors were approved by shareholders. An independent proxy attended the meeting, representing 1,974,651,962 votes.

The shareholders overwhelmingly approved the management report and the consolidated and standalone financial statements for the 2024 financial year, with 99.28% in favor. The Compensation Report for 2024 was ratified in an advisory vote by 86.70% of shareholders.

In a significant move, the shareholders approved the appropriation of total profit and ordinary dividend distribution of USD 0.90 (gross) per share in cash, with an impressive 99.77% in favor. This distribution reflects UBS’s continued financial strength.

The AGM also confirmed the Board of Directors for the upcoming year. Shareholders re-elected Colm Kelleher as Chairman of the Board with 90.02% approval, while they gave strong votes of confidence to other members, including Lukas Gähwiler (89.52%), Jeremy Anderson (99.09%) and William C. Dudley (99.33%). Shareholders confirmed newly elected members Renata Jungo Brüngger and Lila Tretikov with 78.17% and 99.40%, respectively.

Shareholders re-elected Julie G. Richardson (95.21%) and Jeanette Wong (96.99%) for another term, while they newly elected Gail Kelly with 89.83% approval.

Shareholders also approved key compensation matters, including the maximum aggregate compensation for the Board of Directors from the 2025 to 2026 AGM (90.91%) and the aggregate variable compensation for the Group Executive Board for the 2024 financial year (89.71%).

Also, the meeting concluded with the approval of an ordinary reduction in share capital through the cancellation of shares repurchased under the 2022 share repurchase program (94.22%) and the authorization of a new share repurchase program (93.53%).
